Terms of Service
These Terms govern the services provided by astra-meta LLC ("astra-meta", "we", "us") to you ("Client"). By engaging our services or paying an invoice, you agree to these Terms.
1. Services
astra-meta provides business-to-business digital services, including:
- Advertising management and consulting (e.g. Meta and Google advertising)
- AI automation setup (lead handling, messaging, reporting and workflow automation)
- Growth consulting, strategy sessions and business/problem analysis
The exact scope of your engagement is defined by the plan you select or the proposal we agree in writing.
2. Packages, fees and billing
- Our service packages are one-time setup projects. They are billed once, in advance — there is no subscription and no automatic renewal.
- Each package covers a defined scope of work agreed before we start, plus the post-launch support period stated for that package.
- Additional or ongoing work beyond the agreed scope is quoted and invoiced separately.
- All prices are stated in US dollars (USD) and are exclusive of any applicable taxes.
- Payments are processed by a third-party payment provider. We do not store card details.
3. Advertising spend is separate
Important: our fees cover management and services only. Any money spent on advertising platforms (Meta, Google, TikTok, etc.) is paid by the Client directly to those platforms and is not included in our fees and not refundable by us.
4. Client responsibilities
- Provide timely access to the accounts, assets and information we need
- Ensure you own or are licensed to use any materials you supply to us
- Ensure your products, services and claims comply with applicable law and platform policies
- Respond to requests for approval within a reasonable time
5. Third-party platforms and no guarantee of results
Our work depends on third-party platforms whose rules, pricing and algorithms are outside our control. Advertising and marketing outcomes depend on many factors, including your product, pricing, market and budget. We do not guarantee any specific result, such as a particular level of sales, revenue, ranking, reach or return on ad spend. Any figures we discuss are estimates, not promises.
6. Intellectual property
Deliverables we create specifically for you become your property once paid for in full. We retain ownership of our pre-existing tools, templates, frameworks and know-how, and may reuse them. You keep ownership of materials you provide to us.
7. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform or receive the services.
8. Term, cancellation and termination
An engagement runs until the agreed scope of work has been delivered and the post-launch support period stated for your package has ended. Cancellations and refunds are handled under our Refund & Cancellation Policy. Either party may terminate an engagement for material breach if the breach is not remedied within 14 days of written notice. We may suspend services for non-payment.
9. Disclaimer of warranties
Services are provided "as is" and "as available" to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, astra-meta is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the services is limited to the amount of fees you paid us for the three (3) months immediately preceding the event giving rise to the claim.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The courts located in Wyoming shall have jurisdiction, unless mandatory local consumer law provides otherwise.
12. Changes
We may update these Terms. Material changes affecting an ongoing engagement take effect at your next renewal.
